Hisense HA Schedules 25 June 2026 AGM; Shareholders to Vote on 2025 Profit Distribution, Auditor Renewal and Dual Financing Mandates

Hisense Home Appliances Group Co., Ltd. (Hisense HA) has issued a proxy form outlining ten resolutions to be tabled at its 2025 Annual General Meeting, set for 3:00 p.m. on Thursday, 25 June 2026, in the conference room of Hisense International Centre, No. 88 Hong Kong East Road, Qingdao, Shandong Province, PRC.

Ordinary resolutions: 1. Board Report: Shareholders will review and approve the 2025 Report of the Board. 2. Annual Report: The 2025 Annual Report and its summary are up for endorsement. 3. Financial Statements: Approval of the audited consolidated financial statements for the year ended 31 December 2025. 4. Profit Distribution: A proposal on profit distribution for full-year 2025 will be considered. 5. Auditor Re-appointment: Renewal of ShineWing Certified Public Accountants LLP as external auditor for the next fiscal year. 6. Foreign-Exchange Derivatives: Authorisation for the company to conduct FX derivatives transactions. 7. Idle Funds Investment: Permission to purchase low-to-medium-risk fixed-income products with idle self-owned funds. 8. Remuneration Policy: Adoption of a remuneration management system for directors and senior management.

Special resolutions: 9. General Mandate to Issue Shares: The Board seeks authority to allot and issue shares within statutory limits. 10. General Mandate to Issue Debt Financing Instruments: The Board requests approval to arrange debt financing instruments.

Shareholders may appoint the AGM chairman or another proxy to vote on their behalf. Proxy forms, along with any authorising documents, must reach Computershare Hong Kong Investor Services Limited no later than 3:00 p.m. on 24 June 2026. Attendance in person remains permitted even after a proxy is lodged, in which case the proxy will be deemed revoked.
