CPIC Vice Chairman Lu Qiaoling Steps Down Citing Age; Board Quorum Unaffected

China Pacific Insurance (Group) Co., Ltd. (CPIC) announced that Ms. Lu Qiaoling has resigned, effective 11 August 2026, from her roles as Vice Chairman, Non-executive Director and member of the Board’s Strategic and Investment Decision-Making & ESG Committee, citing age-related reasons.

The company confirmed that her departure does not reduce the Board below its statutory quorum and all handover procedures have been completed in accordance with relevant requirements. CPIC added that Ms. Lu has no disagreements with the Board and there are no matters related to her resignation requiring shareholder or creditor attention.

CPIC’s Board expressed appreciation for Ms. Lu’s contributions during her tenure. As of the announcement date, the Board comprises: • Executive Directors: Fu Fan (Chairman) and Zhao Yonggang • Non-executive Directors: Huang Dinan, Wang Tayu, Wang Yuhua, Chen Ran, Zhou Donghui and John Robert Dacey • Independent Non-executive Directors: Chen Xin; Lam Tyng Yih, Elizabeth; Lo Yuen Man, Elaine; Chin Hung I David; and Wong Hin Wing • Employee Director: Zhou Liyun

The notice was issued in Hong Kong on 11 August 2026 and signed by Chairman Fu Fan.
