Billion Industrial Proposes 2-for-1 Share Consolidation; Share Count to Halve, Board Lot Value to Double

Bulletin Express09-11

Billion Industrial Holdings Limited has unveiled plans for a 2-for-1 share consolidation that will halve its issued share count and double the par value of each share, aiming to elevate its trading price and broaden its investor base.

Key Transaction Terms • Structure: Every two existing ordinary shares of HK$0.01 par value will be consolidated into one share of HK$0.02 par value. • Capital Base: Authorised share capital remains unchanged at HK$100.00 million, but the number of authorised shares will fall from 10.00 billion to 5.00 billion post-consolidation. • Issued Shares: Outstanding shares will be reduced from 2.11 billion to 1.06 billion. • Board Lot: The trading lot size stays at 2,000 shares; however, the notional value per lot will rise from HK$11,420 to approximately HK$22,840, based on the latest closing price of HK$5.71 per share (implying HK$11.42 per consolidated share).

Conditions and Timeline The consolidation requires: 1. Shareholder approval via special resolution at an extraordinary general meeting (EGM) scheduled for 9:00 a.m. on 12 October 2026; 2. Listing Committee approval for the new shares; 3. Compliance with Cayman Islands law and Hong Kong Listing Rules.

Subject to these conditions, the effective date is targeted for 14 October 2026. Free exchange of old share certificates (blue) for new certificates (purple) will run from 14 October to 20 November 2026. Parallel trading and an odd-lot matching service will operate from 29 October to 18 November 2026.

Rationale Management believes a higher absolute share price will: • Enhance corporate image and align trading levels more closely with A-share-listed peers whose shares currently trade between HK$15.65 and HK$27.37; • Attract a wider pool of institutional and professional investors; • Lower percentage-based transaction costs for shareholders by increasing the consideration per board lot; • Potentially stabilise the share price by discouraging short-term speculation.

Additional Information • The company has no outstanding options, warrants or other convertible securities. • There are no immediate plans for further corporate actions or fund-raising within the next 12 months, although future financing is not ruled out. • No shareholders are required to abstain from voting on the consolidation resolution. • The Stock Exchange remains the sole listing venue for Billion Industrial’s shares.

Cautionary Note The consolidation will proceed only if all conditions are met. Shareholders and investors are urged to exercise caution when dealing in the company’s shares and to refer to the forthcoming circular, slated for dispatch by 25 September 2026, for full details.
