BAIC Motor Corporation Limited released a circular on 25 March 2026 announcing that shareholders will decide on three director appointments at an extraordinary general meeting (EGM) scheduled for 9:30 a.m. on 14 April 2026 in Beijing.
Key proposals 1. Non-executive director & chairman: Zhang Guofu, currently vice general manager of parent company BAIC Group and party secretary of BAIC Motor. 2. Executive director: Zheng Mingying, vice-president and finance head of BAIC Motor and a senior accountant. 3. Non-executive director: Zhou Jianyu, full-time director at Beijing Energy Holding and director of two listed energy subsidiaries.
All three nominees will serve from the date of shareholder approval until the end of the fifth board term and will receive no director’s remuneration from BAIC Motor. The company confirms that the candidates hold no shares in BAIC Motor, maintain no related-party ties with existing directors or major shareholders, and have no disclosures under Listing Rule 13.51(2)(h)-(v).
Voting arrangements • All resolutions will be decided by poll in accordance with Hong Kong Listing Rule 13.39(4). • The board states that no shareholder is required to abstain from voting on the proposed appointments.
Shareholder timetable • Register closure: 9 – 14 April 2026 (both days inclusive). • Shareholders must be on the H-share register by the close of business on 8 April 2026 to vote. • Proxy forms must be lodged no later than 24 hours before the meeting—H-share holders with Computershare Hong Kong Investor Services; domestic shareholders with the company’s board office in Beijing.
The board recommends that shareholders vote in favour of all three director appointments.
