Bulletin Express11-02 18:04

Times China Holdings Limited reported that its issued share capital rose marginally in October 2026, driven entirely by conversions of its outstanding zero-coupon mandatory convertible bonds (MCBs).

Issued shares • Opening balance (30 Sep 2026): 3.00 billion ordinary shares • Net increase during October: 4.06 million shares • Closing balance (31 Oct 2026): 3.00 billion shares

The 0.14% month-on-month expansion stemmed from bondholders converting portions of two outstanding tranches: 1) MCB I (USD 707.82 million outstanding at 30 Sep 2026) saw USD 2.93 million of principal converted into 3.81 million new shares at HKD 6.00 per share. Remaining headroom under this tranche stands at 916.35 million shares. 2) MCB II (USD 219.41 million outstanding at 30 Sep 2026) recorded USD 0.32 million of conversions, adding 0.25 million shares at HKD 10.00 per share. A balance equivalent to 170.89 million shares remains unconverted.

Authorised share capital was unchanged at 10.00 billion shares with a par value of HKD 0.10 each, leaving total authorised capital at HKD 1.00 billion.

The company confirmed compliance with the Hong Kong Stock Exchange’s minimum 25% public float requirement as at 31 October 2026. No treasury share movements, share option exercises, warrant exercises or other equity issuances were recorded during the period.
