Platt Nera International Limited (1949) Announces EGM Results and Implementation of Share Consolidation

Platt Nera International Limited (1949) held an Extraordinary General Meeting (EGM) on 3 December 2025, during which the proposed ordinary resolution regarding a five-to-one share consolidation was passed by poll. The final count recorded 351,795,000 votes in favor and 6,000 votes against. As at the date of the meeting, 960,000,000 shares were in issue.

According to the announcement, the share consolidation will become effective on 5 December 2025. Following this, every five shares of HK$0.01 each will be consolidated into one share of HK$0.05 each. Fractional entitlements arising from the consolidation, if any, will be aggregated and sold for the benefit of the company.

In conjunction with the share consolidation, the board lot size for trading on the Stock Exchange will be changed from 2,000 existing shares to 4,000 consolidated shares, effective on 19 December 2025. New share certificates in green color will be issued for the consolidated shares, while existing orange certificates will remain valid proof of legal title but will cease to be accepted for settlement after 4:10 p.m. on 13 January 2026.
