PENGO HLDG GP (Pengo Holdings Group Limited) has put forward a comprehensive overhaul of its amended and restated articles of association. Key points are as follows:
• Scope of changes: The Board proposes updates to align the Company’s governance framework with the latest regulatory guidance on (i) hybrid shareholder meetings, (ii) electronic voting protocols, (iii) electronic despatch of notices and documents, (iv) electronic dividend or other shareholder payments, and (v) the formalisation of treasury-share arrangements.
• Implementation mechanism: The current articles will be replaced in full by a new set of articles incorporating these revisions, subject to shareholder approval via a special resolution.
• Timetable: The proposal will be tabled at the Annual General Meeting scheduled for 28 August 2026. The New Articles would become effective immediately upon shareholder approval.
• Next steps: A circular detailing the full text of the amendments and the AGM notice will be dispatched to shareholders in due course.
• Board composition: The Board currently consists of six executive directors (Chairman Feng Jiamin, Michael Shi Guan Wah, Zhao Jianhong, Leung Yiu Cho, Liang Enkai, and Fong Hang Fai), one non-executive director (Dong Changzhou), and four independent non-executive directors (Wu Kai Tang, Shek Jun Chong, Qiu Yue, and Tam Wing Yan).
