Hong Kong and China Gas to Vote on FY2025 Results, Final Dividend, Board Re-election and Mandate Renewals at 1 June 2026 AGM

The Hong Kong and China Gas Company Limited has issued the proxy form and agenda for its Annual General Meeting scheduled for 1 June 2026 at the Hong Kong Convention and Exhibition Centre.

Key resolutions to be put before shareholders include:

• Financial Statements and Reports: Shareholders will consider and receive the audited financial statements for the year ended 31 December 2025 together with the directors’ and independent auditor’s reports.

• Dividend Proposal: A final dividend for FY2025 will be sought for approval.

• Board Composition: Four directors—Dr. the Hon. Lee Ka-kit, Dr. the Hon. Sir David Li Kwok-po, Dr. Colin Lam Ko-yin and Mr. Yeung Lui-ming—are nominated for re-election.

• Auditor Re-appointment: Continuation of PricewaterhouseCoopers as independent auditor and authorisation for the board to fix its remuneration.

• Share Capital Authorities: Renewal of the general mandates allowing the board to (1) repurchase issued shares and (2) issue additional shares.

• Corporate Governance Update: Adoption of a new Articles of Association as a special resolution.

Shareholders wishing to vote by proxy must lodge completed forms with Computershare Hong Kong Investor Services Limited no later than 48 hours before the meeting. A proxy need not be a company member.
