EASOU TECH invests US$7.66 million in Huatai yield-enhancement notes under HK$180.00 million cash-management quota

Bulletin Express04-24

On 24 April 2026, EASOU TECH (Easou Technology Holdings Limited) subscribed for US$7.66 million of “USD 7,660,000 Yield Enhancement Notes” issued by Huatai International Financial Products Limited and guaranteed by Huatai International Financial Holdings Company Limited.

The guaranteed structured note carries an internal risk rating of “low to medium”, offers an annualised return ranging from 1.07% to 5.83%, and matures on 30 March 2027—approximately 11 months after the investment commencement date of 28 April 2026.

Funding for the purchase derives from idle proceeds raised in EASOU TECH’s June and July 2025 private placings, supplemented by working capital. The transaction falls within the company’s pre-approved wealth-management programme, which allows investments of up to HK$180.00 million (or equivalent). Shareholders endorsed the programme at an extraordinary general meeting on 27 March 2026.

Under Hong Kong Listing Rule 14.22, the latest subscription is aggregated with a previous US$6.45 million purchase of a similar Huatai product completed on 10 November 2025. The combined value exceeds the 5% but remains below the 25% threshold stipulated in Rule 14.07, categorising the aggregated transactions as discloseable but exempting them from circular and shareholder approval requirements.

Management cited improved utilisation of idle funds, preservation of capital value and maintenance of operational liquidity as principal reasons for the investment. No connected-party relationship exists between EASOU TECH and the Huatai entities involved.
