Hong Kong-listed EDA Group Holdings Limited (stock code 02505) announced a series of board and committee changes effective 30 June 2026.
The company confirmed the resignation of Independent Non-Executive Director (INED) Mr. Chan Kwok Cheung Kevin, who will step down from the Board, the Audit Committee and the chairmanship of the Remuneration Committee to focus on personal career development. Mr. Chan stated he has no disagreement with the Board and raised no issues requiring shareholder attention.
To reinforce independent oversight, EDA Group appointed two experienced executives as INEDs. • Mr. Huang Risheng, 55, with more than 30 years in engineering construction and project management—including leadership roles at Shenzhen Fanhua Engineering and China Railway—joins the Board and becomes chairman of the Remuneration Committee. His three-year appointment carries an annual director’s fee of HK$0.18 million, and he will stand for re-election at the next annual general meeting. • Mr. Zhan Linkun, 57, brings over 25 years of high-tech corporate management experience, notably at Huawei Technologies where he held multiple senior positions. He joins the Audit and Nomination Committees. His three-year term also includes an annual director’s fee of HK$0.18 million and the same re-election provisions.
Consequent committee restructurings are as follows: 1. Audit Committee: Mr. Ng Cheuk Him (Chair), Mr. Luo Jianfeng, and Mr. Zhan Linkun. 2. Remuneration Committee: Mr. Huang Risheng (Chair), Mr. Liu Yong, Mr. Zuo Manlun, Mr. Ng Cheuk Him, and Mr. Wong Ping Yee Natalis. 3. Nomination Committee: Mr. Wong Ping Yee Natalis (Chair), Ms. Li Qin, Mr. Zuo Manlun, Mr. Ng Cheuk Him, and Mr. Zhan Linkun.
Following these changes, the Board now comprises nine directors—three executive, two non-executive and four independent non-executive—ensuring that INEDs represent more than one-third of the Board. The updated composition satisfies Hong Kong Listing Rules 3.10(1), 3.10A, 3.21, 3.25 and 3.27A regarding board and committee independence.
