Independent Investigation Progress According to recent disclosures, the independent investigation committee—comprising all independent non-executive directors—has been overseeing work streams to review the Group’s bank statements, transaction records, and relevant documentation related to certain loan and repayment matters. Some internal documents were missing or incomplete, and scheduling conflicts have delayed employee interviews. The investigation team also required more time to coordinate responses from external counterparties. These factors contributed to a longer-than-expected timeframe for completing the investigation.
Change of Auditor and Interim Review Status PwC resigned as auditor of the Group with effect from February 13, 2026. HLB Hodgson Impey Cheng Limited was appointed as the new auditor on February 14, 2026. HLB has commenced the review of the Group’s interim results for the six months ended September 30, 2025, taking into account findings from the ongoing independent investigation. Publication of these interim results, originally expected in February 2026, is now tentatively scheduled for the end of April 2026. This timeline may change based on when the investigation concludes and the extent of additional information or adjustments required.
Operational Update and Continued Suspension Despite the ongoing trading suspension, the Group’s dental clinics and related operations have continued as usual. The board and management remain focused on preserving stable business activities and protecting the interests of stakeholders during this period. Trading in the shares of the Group on the Hong Kong Stock Exchange will remain suspended until the interim results and any other requisite disclosures are made public.
