Bulletin Express08-13 22:47

Beijing, 13 Aug 2026—China Aluminum International Engineering Corporation Limited (CHALIECO) disclosed a planned change to its Board of Directors following a resolution passed at today’s meeting.

The incumbent non-executive director, Mr. Liu Changkui, has reached retirement age and signalled his intention to resign from the Board and four of its committees—Risk Management, Audit, Remuneration and Strategy. To safeguard governance continuity, Mr. Liu will remain in post until a successor is formally appointed. He confirmed no disagreement with the Board and reported no additional matters requiring shareholder attention.

The Board has nominated Mr. Hu Jianbo, aged 43, as a candidate to fill the non-executive director vacancy for the remainder of CHALIECO’s fifth Board term. Mr. Hu, a senior engineer with a master’s degree in management, is currently a full-time external director at a subsidiary of Aluminum Corporation of China. His prior roles include senior managerial positions at Chinalco Environmental Protection and Energy Conservation Co., Ltd., and directorships at Chinalco Assets Operation and Management Co., Ltd. and Chinalco Digital Intelligence IoT Technology Co., Ltd.

Regulatory disclosures confirm that Mr. Hu: • Holds no positions within CHALIECO or its subsidiaries at present; • Has no relationships with existing directors, supervisors, senior management, major or controlling shareholders; and • Owns no shares in CHALIECO under Part XV of the Hong Kong Securities and Futures Ordinance.

Upon shareholder approval, Mr. Hu will assume office without remuneration, consistent with the Company’s policy for non-executive directors, and will enter into a separate service contract. CHALIECO will circulate meeting materials and voting arrangements to shareholders in due course.

Following the proposed transition, CHALIECO’s Board will comprise two non-executive directors, three executive directors, one employee-representative director and three independent non-executive directors, maintaining its existing structure.
