Q Technology (Group) Company Limited has scheduled its 2026 Annual General Meeting for 10:30 a.m. on 22 May 2026 at Room 901, 9/F, Block 4C, Software Industrial Base, Xuefu Road, Nanshan District, Shenzhen.
Key resolutions to be put forward include:
1. FY2025 Results and Dividend • Shareholders will vote to adopt the audited consolidated financial statements for the year ended 31 December 2025. • The board proposes a final cash dividend of HK$0.40 per share (approximately RMB0.361), subject to approval. The share register will be closed from 8 June 2026 to 10 June 2026 for dividend entitlement.
2. Board Composition and Remuneration • Re-election of independent non-executive directors Mr. Xiaomin Fu and Ms. Hui Hiu Ching, and executive director Mr. Fan Fuqiang. • Authorisation for the board to set director remuneration for the 2026 financial year.
3. Auditor • Deloitte Touche Tohmatsu is nominated for re-appointment as independent auditor, with the board authorised to determine its fees.
4. Capital Management Mandates • General mandate allowing the board to allot and issue new shares or resell treasury shares up to 20% of the company’s issued share capital (excluding treasury shares) as at the date of the AGM. • Share buy-back mandate permitting repurchases of up to 10% of issued shares. • Extension mandate to increase the issuance limit by the number of shares actually bought back under the above 10% authority.
5. Corporate Governance • Shareholders will consider the adoption of a third amended and restated Articles of Association, replacing the current version to align with regulatory requirements.
Key administrative dates: • Record date for AGM attendance: 18 May 2026 (share transfer books close 19–22 May 2026). • Record date for final dividend: 5 June 2026 (share transfer books close 8–10 June 2026).
Shareholders may appoint proxies to vote on their behalf, and all resolutions will be decided by poll in accordance with Hong Kong Listing Rules.
