Zhihu Executes Buyback of 97,581 Class A Shares on 3 Aug; Cumulative Repurchases Rise to 2.71 Million

Zhihu Inc. (ZHIHU-W) has disclosed a further repurchase of 97,581 weighted-voting-rights (WVR) Class A ordinary shares on 3 August 2026. The transaction, conducted on the New York Stock Exchange, was executed within a price range of USD 1.09–1.11 per share, for a total consideration of USD 107,743.92. The buyback corresponds to 32,527 American depositary shares (ADSs), with each ADS representing three Class A ordinary shares.

Including this latest purchase, Zhihu has repurchased 2.71 million Class A shares under the general mandate approved on 30 June 2026, equivalent to approximately 1.07 % of the company’s 259.65 million issued shares (244.79 million Class A and 14.86 million Class B). All repurchased shares are designated for cancellation and remain uncancelled as at 3 August 2026.

The company’s issued share capital therefore remains unchanged at 244.79 million Class A shares and 14.86 million Class B shares. Pursuant to Hong Kong Stock Exchange rules, Zhihu is subject to a moratorium on issuing new shares or disposing of treasury shares until 2 September 2026.
