Rokae (Shandong) Robotics Group Inc. (ROKAE ROBOTICS) has completed its Hong Kong IPO, pricing 23.03 million H shares at HK$38.00 each. Trading is scheduled to begin on 9 July 2026 under stock code 03752, in board lots of 100 shares.
The offer generated strong demand: • Hong Kong Public Offering (2.30 million shares) was 156.58 times subscribed, receiving 63,360 valid applications. • International Offering (20.73 million shares) was 11.96 times subscribed and allocated to 72 placees. • An over-allocation of 3.45 million shares was effected; the 15% over-allotment option can be exercised until 5 August 2026.
Proceeds and valuation: • Gross proceeds: HK$875.20 million. • Estimated listing expenses: HK$64.70 million. • Net proceeds to the company: HK$810.50 million. • Implied post-listing market capitalisation: HK$9.49 billion, based on 261.73 million issued shares.
Shareholding structure and float: • Public shareholders will hold 169.15 million H shares, or 64.63% of total share capital—well above the 15.08% minimum public-float requirement. • No single placee received more than 10% of the enlarged share capital. • The top 10 H-shareholders will control 80.23% of the H-share class at listing, indicating a high concentration of ownership.
Cornerstone tranche: Five cornerstone investors subscribed for 7.23 million shares (31.40% of the offering). Beijing Financial Street Capital Operation Group is the largest, taking 3.03 million shares (13.14% of the offer). All cornerstone shares are subject to a six-month lock-up ending 8 January 2027.
Lock-up commitments: • Controlling shareholder Mr Tuo Hua and two related partnerships will retain a combined 129.44 million shares (49.46% of total) until 8 July 2027. • Pre-IPO investors and other existing shareholders are also locked up until the same date.
