Pengo Holdings AGM Clears Mandates and Governance Changes while Rejecting Two Director Re-elections

Pengo Holdings Group Limited (“Pengo Holdings”) announced the poll results of its Annual General Meeting held on 28 August 2026. Shareholders approved all ordinary and special resolutions except the re-election of Executive Director Liang Enkai and Non-executive Director Dong Changzhou, who have consequently retired from the Board with immediate effect.

A total of 1.43 billion shares were eligible to vote, and all resolutions were decided by poll. Key outcomes are as follows:

1. Financial Statements and Auditor • Adoption of the audited consolidated financial statements for the year ended 31 March 2026 received unanimous support, with 440.99 million votes (100%) in favour. • Confucius International CPA Limited was re-appointed as independent auditor with 100% approval (440.99 million votes).

2. Board Composition • Re-election of six directors—Feng Jiamin, Fong Hang Fai, Zhao Jianhong, Shek Jun Chong, Tam Wing Yan and the authorisation to fix directors’ remuneration—each secured 100% support. • Re-election proposals for Liang Enkai and Dong Changzhou were rejected, receiving only 24.83 million votes (5.63%) in favour versus 416.16 million votes (94.37%) against. Both directors have retired from the Board following the AGM.

3. Share Issuance and Repurchase Mandates • Shareholders granted a general mandate to issue new shares up to 20% of the existing issued share capital and a separate mandate to repurchase up to 10% of shares. Both mandates, as well as the mandate extension combining repurchased shares into the issuance limit, received 100% approval.

4. Corporate Governance Update • A special resolution to adopt the amended and restated Articles of Association passed with at least 75% support, receiving 440.99 million affirmative votes and none against.

Union Registrars Limited acted as scrutineer for vote-taking. No shareholders were required to abstain, and no parties opposed any resolution in advance. The Board expressed its appreciation to the retiring directors for their contributions.
