QingSong Health issues 1.78 million new shares on option exercises, repurchases 2.97 million shares for HK$29.89 million

QingSong Health Corporation (listed on HKEX, stock code 02661) reported simultaneous equity issuance and buy-back activities on 2 July 2026, according to its Next Day Disclosure Return filed with the Hong Kong Stock Exchange.

New shares from option exercises • Five batches of employee option exercises under the company’s Pre-IPO Share Option Scheme added a total of 1.78 million ordinary shares to the register, equal to 0.87% of the 204.33 million shares outstanding prior to the transactions. • Strike prices ranged widely—from HK$0.00078 to HK$7.41 per share—resulting in gross proceeds of roughly HK$5.46 million.

Share repurchase moved into treasury • On the same day, QingSong Health bought back 2.97 million shares on the Exchange at prices between HK$9.69 and HK$10.74, for an aggregate HK$29.89 million. • The repurchased stock, representing 1.45% of pre-transaction issued shares, is being held as treasury shares; no cancellations have yet been effected.

Updated share capital structure (as of 2 July 2026) • Issued shares outstanding (excluding treasury): 203.14 million, down 0.59% from 204.33 million. • Treasury shares: increased to 5.01 million from 2.04 million. • Total issued shares (including treasury): 208.15 million, up 0.86%.

Repurchase mandate utilisation • The 2.97 million shares bought represent 2.43% of the 122.15 million shares authorised for buyback under the mandate approved on 22 May 2026, leaving capacity to repurchase up to 17.67 million additional shares. • Under Hong Kong listing rules, QingSong Health cannot issue further new shares or dispose of treasury shares on-market until 1 August 2026, following the repurchase activity.

The company confirmed that all transactions were duly authorised, funds received, and conducted in compliance with Hong Kong Stock Exchange regulations and applicable laws.
