ESPRIT HOLD-NEW Discontinues American Depositary Receipt Program

ESPRIT HOLD-NEW (00330) has announced the termination of its Level 1 American Depositary Receipt (ADR) program. The decision follows the resignation of Deutsche Bank Trust Company Americas, the depositary bank, which submitted its resignation letter effective November 12, 2025. Consequently, the ADR program will cease operations at 5:00 PM Eastern Time on March 19, 2026.

Although the program previously provided an opportunity for trading the company's shares on the U.S. over-the-counter market, the board of directors has decided not to appoint a successor depositary bank. This is due to the program's relatively low participation rate and the fact that, as of January 30, 2026, the outstanding ADRs represented less than 0.5% of the company's total issued share capital.

The board believes that terminating the program will not adversely affect the share price or trading volume of the company's stock on the Hong Kong Stock Exchange. Deutsche Bank Trust Company Americas will send a termination notice to all remaining ADR holders at least 30 days before the termination date. The notice will include details regarding the termination process, such as arrangements for holders to surrender their ADRs for cancellation.
