CMOC Group Limited has called an extraordinary general meeting (EGM) for 20 August 2026 in Shanghai to seek shareholder approval for four key matters:
1. Revision and renewal of the product sales and procurement framework with Contemporary Amperex Technology Co., Limited (CATL). 2. Revision and renewal of the product sales and procurement framework with KFM Holding, the 75%-owned holding company of the Kisanfu copper-cobalt mine. 3. Amendments to the internal Rules for Management of Raised Funds. 4. Amendments to the Articles of Association reflecting a change in one promoter’s name.
CATL FRAMEWORK – HIGHER CAPS THROUGH 2028 • Term: Effective upon approval to 31 December 2028. • CMOC sales to CATL (copper, cobalt, nickel): caps raised to US$3.85 billion (2026), US$4.30 billion (2027) and US$5.00 billion (2028). • CMOC purchases from CATL (nickel, copper, EV & ESS batteries): caps lifted to US$1.35 billion, US$1.85 billion and US$1.90 billion for 2026-2028 respectively. • Interest on CATL prepayments: US$90 million (2026), US$85 million (2027), US$80 million (2028). The increases reflect rising production at the Kisanfu project, stronger prices for copper, and anticipated volatility in cobalt exports from the Democratic Republic of Congo (DRC).
KFM FRAMEWORK – LARGE UPLIFT TO MATCH MINE EXPANSION • Term: Effective upon approval to 31 December 2028. • CMOC purchases of KFM copper and cobalt: caps raised to US$6.05 billion (2026), US$7.80 billion (2027) and US$14.00 billion (2028). • CMOC supplies of equipment, materials, electricity & services to KFM: caps set at US$1.30 billion, US$1.50 billion and US$1.45 billion for 2026-2028. • Interest receivable on CMOC prepayments to KFM remains capped at US$45 million per year. The adjustments align with Kisanfu Phase II, which is scheduled to start up in 2027 and lift annual output to roughly 300,000 tonnes of copper and 130,000 tonnes of cobalt.
KEY GOVERNANCE POINTS • CATL and its associates (24.91% shareholding) will abstain from voting. • Two CATL-related directors (Lin Jiuxin, Jiang Li) abstained from the board vote. • Independent Board Committee and Rainbow Capital (independent financial adviser) both consider the revised terms fair and reasonable.
EGM & REGISTRATION DETAILS • Date/Time: 20 Aug 2026, 1:30 p.m. (PRC time) at Pudong Shangri-La, Shanghai. • Record date for H-shareholders: 17 Aug 2026; register closed 17-20 Aug. • Proxy forms for H-shareholders due by 1:30 p.m. on 19 Aug 2026.
If approved, the new frameworks will replace existing agreements that expire on 31 December 2027 and provide CMOC with expanded capacity to transact with its key strategic partner CATL and its Kisanfu subsidiary through 2028.
