Viva Biotech cancels 11.01 million shares in July, issued share capital falls to 2.09 billion

Viva Biotech Holdings (Viva Biotech) filed its Monthly Return for the period ended 31 July 2026, detailing the following key capital movements:

• Issued share count trimmed by 11.01 million shares, to 2.09 billion, after cancellation of stock repurchased on 12 June 2025 and 26 June 2026 at an average price of HKD 1.137593 per share.

• No change in authorised share capital: 4.00 billion ordinary shares with a par value of USD 0.000025, equal to USD 100,000.

• Public-float requirement remains satisfied, with at least 25% of issued shares held by the public.

• Share-based incentives: – Pre-IPO scheme: 2.22 million options outstanding, unchanged during the month. – Post-IPO scheme: options outstanding fell from 13.70 million to 8.32 million after 5.38 million options lapsed; no new grants or exercises. – Aggregate options that could result in future share issuance total 10.54 million, with an additional headroom of 129.73 million shares available for grant under the Post-IPO scheme.

• No warrants, convertible securities, treasury-share transfers, or Hong Kong Depositary Receipts were reported for the month.
