YH Entertainment Group Seeks Shareholder Nod for 2026 Share Incentive Plan and 12.50 Million-RSU Grant

YH Entertainment Group has issued a circular dated 25 March 2026 outlining three resolutions to be tabled at an extraordinary general meeting scheduled for 16 April 2026 in Beijing.

The board is asking shareholders to approve a new 2026 Share Incentive Plan that would cover up to 20.00 million shares, equal to 2.41% of the company’s outstanding share capital. Within this limit, grants to service providers are capped at 14.00 million shares, or 1.69% of shares in issue. The scheme will run for 10 years to April 2036 and will be funded solely with treasury shares already held by the company.

Eligible participants include employees, directors, related-entity staff and selected external service providers who contribute to artist management, music production, IP development and related business activities. The board, remuneration committee or their delegate will set vesting conditions, performance targets and potential clawback provisions case-by-case. Vesting periods must be at least 12 months, with limited exceptions.

A separate resolution seeks authority for the board and/or its delegate to implement the plan, appoint a trustee and manage future grants.

The company also proposes a one-off, conditional award of 12.50 million restricted share units to managed artist and service provider Mr Wang Yibo. The grant represents 1.51% of issued shares, carries a token purchase price of HK$0.01 per RSU and will vest in four equal annual tranches from the grant date. Clawback triggers include breach of the artist contract, misconduct and failure to meet specified performance metrics. Because the award exceeds the plan’s 1% individual limit, it must be separately approved by independent shareholders.

The register of members will close from 13 to 16 April 2026 (both dates inclusive). Shareholders recorded by 13 April 2026 may vote in person or by proxy, with completed proxy forms due by 3:00 p.m. on 14 April 2026.
