Hao Bai International postpones circular on factoring-agreement disposal; new deadline set for 29 May 2026

Hao Bai International (Cayman) Limited announced another postponement in the despatch of its shareholder circular relating to the planned very substantial disposal under a factoring agreement.

The company had previously committed to issuing the circular by 30 April 2026, following a series of earlier deferrals disclosed on 21 July 2025, 26 August 2025, 29 September 2025, 31 October 2025, 28 November 2025, 30 December 2025, 30 January 2026, 27 February 2026 and 31 March 2026.

Management now expects to send the document on or before 29 May 2026. The extension is attributed to the additional time required to finalise information for inclusion in the circular, including definitive terms of the disposal agreement with purchaser KNT GT Limited.

The circular will contain detailed information about the proposed transaction, together with the notice of an extraordinary general meeting for shareholder approval.

The board comprises four executive directors—Ng Wan Lok, Wong Wing Hung, Wang Zhixian and Zhang Jiaqing—and three independent non-executive directors—Cheung Hiu Fung, Wong Ming Fair Victor and Tung Yee Shing. The directors collectively accept full responsibility for the accuracy and completeness of the disclosed information.
