Baiying Holdings Publishes 2025 Annual Report and AGM Circular; Seeks Fresh Share Issue and Buy-back Mandates

Baiying Holdings Group Limited announced that its Annual Report 2025 and a circular dated 17 April 2026—covering proposed general mandates to issue new shares, repurchase shares and the re-election of retiring directors—have been released on both the company’s website (www.byleasing.com) and the Hong Kong Stock Exchange website (www.hkexnews.hk).

The corporate package includes: 1. Annual Report 2025, containing audited financial statements and the directors’ report. 2. Notice of the forthcoming Annual General Meeting (AGM) and the related proxy form. 3. Details of proposed ordinary resolutions authorising: • A general mandate for the board to issue new shares. • A general mandate for the board to repurchase shares on-market. • The re-election of directors who are due to retire at the AGM.

Registered shareholders are encouraged to access these documents online; however, printed copies are available free of charge upon request. Shareholders wishing to receive hard copies or update email contact details must complete and return the enclosed reply form to the Hong Kong branch share registrar, Tricor Investor Services Limited, or send an email to 8525-ecom@vistra.com.
