Boyaa Interactive Cuts Outstanding Shares by 1.03 Million in April Buybacks, Public Float Remains Intact

Boyaa Interactive International Limited (Boyaa Interactive) disclosed in its Monthly Return for Equity Issuer that it repurchased 1.03 million ordinary shares in April 2026, reducing the number of issued shares (excluding treasury shares) to 763.34 million as at 30 April 2026. The total share count, including 7.64 million treasury shares, stood unchanged at 770.98 million.

The company’s authorised share capital remained static at 2.00 billion ordinary shares with a par value of USD 0.00005 each, equivalent to total authorised capital of USD 100,000.

Key April share-buy-back activity: • 2 April 2026: 400,000 shares repurchased at HKD 2.6799 each • 9 April 2026: 226,000 shares repurchased at HKD 2.7344 each • 13 April 2026: 400,000 shares repurchased at HKD 2.7298 each

Cumulatively, the company acquired 1.03 million shares for approximately HKD 2.78 million, all of which were transferred to treasury. Treasury shares therefore increased to 7.64 million by month-end.

No new shares were issued, and no treasury shares were cancelled or re-issued. The 2024 Share Option Scheme recorded no outstanding, granted, exercised, or lapsed options during the period; 70.96 million shares remain available for future grants.

Boyaa Interactive confirmed compliance with the Hong Kong Main Board’s minimum 25% public-float requirement as at 30 April 2026. The monthly return was submitted on 7 May 2026 and signed by Chairman and Executive Director Dai Zhikang.
