Jardine Cycle & Carriage details multiple stake changes for 2H25

Jardine Cycle & Carriage (C07) told the Singapore Exchange that it altered interests in several subsidiaries and associates between Jul 1 2025 and Dec 31 2025.

The group’s wholly owned unit Platinum Victory bought 404,400 shares in Refrigeration Electrical Engineering Corporation over five on-market trades completed on Aug, 11 2025, Sep, 30 2025, Nov, 4 2025, Dec, 11 2025 and Dec, 12 2025. Total consideration was about 1.5 million Singapore dollars, lifting the effective stake to 41.69% from 41.61%.

JC&C also acquired 1,155,200 shares in Truong Hai Group on Aug, 26 2025 and Aug, 28 2025 for roughly 2.2 million Singapore dollars. Together with 270,897,969 bonus shares issued in December and a capital reduction at THACO, its interest rose to 26.74% from 26.60%.

Separately, the company sold its entire 49% stake in Carro Care to Trusty Cars for 1 Singapore dollar on Dec, 31 2025, ending its association with Carro Care and its Malaysian subsidiary.

In Myanmar, JC&C bought the remaining 40% of Cycle & Carriage Automobile Alliance on Jul, 17 2025 for a nominal sum of about 0.0 million Singapore dollars and acquired all shares in Automobile Alliance on Aug, 25 2025 for a similar nominal amount, giving it full ownership of both entities.

JC&C said the transactions are not expected to have a material impact on its net tangible assets or earnings per share for the year ended Dec 31 2025, and none of its directors or controlling shareholders has any interest in the deals beyond their shareholdings in the group.
