MODERN DENTAL (03600): Kwun Fung Chan Transfers 50 Triera Shares to CKF Family Limited

MODERN DENTAL (03600) announced that the company received notice from its controlling shareholder, Triera Holdings Limited (Triera), regarding an irrevocable gift transfer of shares. On December 5, 2025, Mr. Kwun Fung Chan transferred 50 Triera shares (representing 50% of Triera's issued share capital) to CKF Family Limited, a British Virgin Islands-registered company.

CKF Family Limited's entire issued share capital is held by TMF (Cayman) Ltd. (as trustee of the CKF Trust, a discretionary trust established by Mr. Chan, the company's controlling shareholder and non-executive director) for the benefit of his family. The share transfer was executed as part of Mr. Chan's family succession planning.

Triera holds 470 million shares in MODERN DENTAL (03600), representing approximately 50.33% of the company's issued share capital. Prior to the transfer, Triera's ownership was divided among Mr. Kwun Fung Chan (50 shares, 50%), Mr. Kwun Bun Chan (20 shares, 20%), Dr. Yik Long Chan (16 shares, 16%), and Ms. Yik Yu Chan (14 shares, 14%). Following the transfer, ownership remains proportionally unchanged, with CKF Family Limited now holding Mr. Kwun Fung Chan's 50% stake.

According to a confirmation letter dated August 10, 2015, between Mr. Kwun Fung Chan (as settlor and sole member of the CKF Trust Protection Committee) and Mr. Kwun Bun Chan, both parties continue to act in concert regarding the shares.
