R&F Properties Hit by Consumption Restrictions and RMB47.19 Billion in Overdue Debt

Bulletin Express10-26

Guangzhou R&F Properties Co., Ltd. (R&F Properties) has disclosed two material issues in an overseas regulatory filing dated 26 October 2026: the imposition of high-level consumption restrictions on the company and its chairman, and the accumulation of RMB47.19 billion in overdue interest-bearing debt as of 30 September 2026. The notice was simultaneously released on the Shanghai and Hong Kong stock exchanges to comply with dual-listing disclosure requirements.

The Hengqin Guangdong-Macao In-Depth Cooperation Zone People’s Court (Case No. (2026) Yue 0491 Zhi No. 476) issued a Consumption Restriction Order against both R&F Properties and its legal representative and chairman, Li Sze Lim. The order prohibits a range of discretionary expenditures, including premium travel, luxury accommodation, real-estate purchases, high-end office leases, and non-essential vehicle acquisitions. R&F Properties stated that the measures have “not yet had a significant adverse impact” on daily operations or debt-servicing capacity and said it is actively communicating with authorities to resolve the issue.

Separately, the company reported aggregate overdue interest-bearing debt of RMB47.19 billion. The breakdown is as follows: • Corporate credit bonds: RMB16.61 billion • Bank loans: RMB14.85 billion • Non-bank financial institution loans (trusts, leasing companies, etc.): RMB7.97 billion • Other interest-bearing debt: RMB7.76 billion

R&F Properties attributed the missed payments to “short-term liquidity pressure” and noted that discussions with creditors are ongoing. Management plans to intensify sales efforts, pursue asset disposals, and arrange repayments in line with operating conditions. The company reaffirmed its commitment to protecting creditor rights and pledged timely disclosure of further developments.

Investors are advised by the company to monitor subsequent announcements for updates on the consumption restriction proceedings and the progress of debt-restructuring initiatives.
