Pathward Financial has announced that it is facing securities fraud investigations from multiple law firms, triggered by substantial loan loss provisions and suspicious fraud incidents disclosed in its third-quarter fiscal results, causing a sharp decline in its stock price.
The U.S.-based financial holding company reported its fiscal 2026 third-quarter earnings on July 22, recording a credit loss provision of $28.3 million for the quarter, a significant increase from $9.3 million in the same period last year. During an earnings conference call, the company's CEO stated that the rise in provisions was partly due to the discovery of "a working capital loan that we believe involves sophisticated fraud." Additionally, the company reported non-performing assets of $277.5 million, representing 3.79% of total assets, compared to just $74.7 million, or 1.03% of total assets, in the prior-year period.
Although the company generated approximately $190 million in revenue for the quarter, this fell short of analyst expectations of $191 million. Earnings per share came in at $1.37, missing the market consensus of $1.95 by 29.6%. The company also revised its fiscal 2026 earnings per share guidance downward to a range of $7.80 to $8.20, while providing its initial fiscal 2027 forecast of $9.50 to $10.00 per share.
Following the announcement, Pathward Financial shares plummeted 6.25% to $83.12 on July 23. The stock had previously fallen 12.6% after the release of second-quarter results. Multiple law firms have launched investigations, focusing on whether the company and its executives engaged in misleading practices in their disclosures, failing to adequately warn investors about deteriorating credit quality and risks associated with renewable energy construction loans.
The company's management has emphasized that the credit event is an isolated incident and does not indicate systemic risk within the overall portfolio. However, the combined impact of legal probes and credit issues has sparked widespread market skepticism regarding the company's risk management capabilities.
