Century Group International Holdings Limited (CENTURY GP INTL) has scheduled its 2026 annual general meeting (AGM) for 11:00 a.m. on 28 September 2026 at 14/F, Fairmont House, 8 Cotton Tree Drive, Central, Hong Kong.
Key AGM resolutions 1. Financial statements: Shareholders will vote on adoption of the audited consolidated results and the directors’ and auditor’s reports for the financial year ended 31 March 2026. 2. Board composition: • Re-election of executive director Ms Liang Yawen. • Re-election of independent non-executive directors Mr Law Michael Ka Ming and Mr Chung Man Lai. • Authorisation for the board to determine directors’ remuneration. 3. Auditor: Proposal to re-appoint OOP CPA & Co. and authorise the board to fix its remuneration. 4. Share issuance mandate: Directors seek authority to allot and issue new shares up to 20% of the issued share capital as at the date of the AGM, with flexibility to grant options, warrants or convertible securities. 5. Share buy-back mandate: Approval to repurchase up to 10% of issued shares on the Stock Exchange or other recognised exchanges. 6. Extension of issuance mandate: Conditional on approval of the above mandates, the share issuance limit may be increased by the number of shares repurchased, effectively adding up to a further 10% of issued share capital.

Transfers to qualify for attendance must be lodged with Union Registrars Limited by 4:30 p.m. on 21 September 2026. • Proxy submission: Forms and authorisations must reach Union Registrars Limited at Suites 3301-04, 33/F, Two Chinachem Exchange Square, 338 King’s Road, North Point, Hong Kong, no later than 48 hours before the AGM. • Voting will be conducted by poll in accordance with Hong Kong Listing Rules.
