HX BLDG MAT: Shareholders Endorse Director Remuneration Framework and Charter Revisions at Second 2026 EGM

HX BLDG MAT (Huaxin Building Materials Group Co., Ltd.) reported that its Second Extraordinary General Meeting (EGM) for 2026, convened on 21 August 2026 in Wuhan, approved all tabled resolutions by poll without amendments.

A total of 629 shareholders and proxies attended, representing 1.43 billion shares, or 69.01 % of the company’s 2.08 billion issued shares. Attendance comprised 628 A-share holders (975.25 million shares, 46.91 % of voting rights) and one H-share holder (459.44 million shares, 22.10 % of voting rights). No share-class or regulatory voting restrictions were in place, and the company held no treasury shares.

Resolution 1 – Adoption of the Management System for the Remuneration of Directors – secured 1.43 billion votes in favour (99.90 %), 1.34 million against (0.09 %) and 0.06 million abstentions (0.00 %), comfortably passing as an ordinary resolution.

Resolution 2 – Amendments to selected Articles of Association – received 1.36 billion affirmative votes (94.72 %), 75.69 million opposing votes (5.28 %) and 0.05 million abstentions (0.00 %). With 94.72 % support, the proposal exceeded the two-thirds threshold required for a special resolution.

All nine directors and the board secretary were present, and Chairman Xu Yongmo presided over the meeting. Tricor Investor Services Limited acted as the vote scrutineer, while Hubei Sunshine Law Firm confirmed the legality and validity of the EGM’s procedures and results.
