Grown Up Group Reveals INED Arthur Chan’s Former Company Placed in Liquidation; Board Sees No Impact on Group Operations

Bulletin Express10-16

Grown Up Group Investment Holdings Limited (Grown Up Group; 01842) has disclosed an update on the background of independent non-executive director (INED) Mr. Chan Ting Leuk Arthur, as required by Rules 13.51(2)(l) and 13.51B(2) of the Hong Kong Listing Rules.

The company said Mr. Chan was previously the sole director and shareholder of CAPN Limited, an IT services and property-management firm incorporated in Hong Kong. CAPN was ordered to be wound up by the High Court of Hong Kong on 16 July 2025 following a winding-up petition filed by Harbour Group Holdings Limited on 7 May 2025 (Case HCCW 271/2025). Liquidators from Crowe (HK) CPA Limited were appointed on 16 January 2026, and the process remains ongoing.

Mr. Chan had disposed of his entire shareholding in CAPN on 4 November 2024 and resigned as its director effective 12 November 2024—more than eight months before the winding-up order. Although the liquidation commenced within 12 months of his departure, triggering mandatory disclosure, Mr. Chan confirmed he has not been involved in, nor is he a party to, the proceedings.

The Board concluded that CAPN’s liquidation does not: 1. Affect Grown Up Group’s business or operations, as CAPN is unrelated to the Group; or 2. Compromise Mr. Chan’s character, integrity, independence, or his capacity to fulfill INED duties.

To reinforce compliance with disclosure obligations, the Board will: • Issue regular written reminders to directors of their duties under Listing Rules 13.51(2)(h)–(v) and 13.51B(2); • Require directors to confirm, prior to each annual and interim report, whether any personal disclosures have changed; and • Mandate ongoing updates to the company secretary on all directorships that fall within discloseable categories.

No further information under Listing Rules 13.51(2)(h)–(v) is pending disclosure regarding Mr. Chan. The announcement was authorized by Chairman and Executive Director Thomas Berg on 16 October 2026.
