Bingo Group issues 1.03 million new shares on option exercise; share capital climbs to 181.14 million amid mandatory offer process

Hong Kong – 20 July 2026 – Bingo Group Holdings Limited (Bingo Group) disclosed an update on its share capital under Rule 3.8 of the Hong Kong Takeovers Code following the exercise of share options linked to its 2024 Share Option Scheme.

On 20 July 2026, a participant (not a director) exercised 1,026,444 options at an exercise price of HK$1.17 per share. The company issued an equivalent 1,026,444 new shares on the same day.

Key post-exercise capital structure • Total issued shares: 181.14 million • Outstanding options: 1.23 million, exercisable at HK$1.17 each • No other outstanding warrants, derivatives or convertible securities confer rights to subscribe, convert or exchange into shares.

The disclosure forms part of the ongoing unconditional mandatory cash offers by Sinolink Securities (Hong Kong) Company Limited on behalf of offeror Mr. Chiau Sing Chi to acquire all issued shares not already owned by him and his concert parties, and to cancel all outstanding options.

In line with Rule 22 of the Takeovers Code, associates—defined to include holders of 5% or more of any relevant securities—must continue to report any dealings in Bingo Group securities. Stockbrokers, banks and other intermediaries are reminded of their duty to advise clients of these obligations.

The board reiterates its cautionary guidance: independent shareholders, optionholders and potential investors should exercise extreme care when trading in Bingo Group securities and seek professional advice if in doubt.
