Swire Pacific Limited (SWIRE PACIFIC B; 00087) has completed an Accelerated Exchange Trade that combines a substantial repurchase of its HK$4.70 billion zero-coupon exchangeable bonds due 2027 with a matched selldown of Cathay Pacific Airways shares. The dual transaction was executed on 2 September 2026, ahead of market open, after the company mandated J.P. Morgan, Morgan Stanley and HSBC as Joint Dealer Managers and Placing Agents.
The bond repurchase covers HK$4.69 billion in principal—representing approximately 99.77% of the outstanding issue—at 109.08% of par. Gross cash outlay for the repurchase is estimated at HK$5.12 billion. Post-transaction, only HK$11 million of bonds remain outstanding; Swire Pacific Finance may exercise its contractual right to redeem these at par once 90% or more of the original issue has been cancelled.
Funding for the buyback is being sourced primarily from a concurrent placement of 362.65 million Cathay Pacific Airways shares at HK$13.20 each, generating gross proceeds of about HK$4.79 billion. The placement price implies discounts of 7.7% to the last close (HK$14.30) and roughly 9% to both the five- and ten-day volume-weighted average prices. The shares sold equate to 5.96% of Cathay Pacific’s issued capital and match the equity underlying the repurchased bonds.
Following completion, Swire Pacific’s stake in Cathay Pacific decreases from 45.11% to 39.15%, consistent with the dilution that would have occurred upon full bond conversion under original terms. A 90-day lock-up on further disposals of Cathay Pacific shares has been agreed, excluding the current placement.
Management anticipates a gain of approximately HK$1.12 billion from the share placement. After accounting for a fair-value loss on the bond repurchase, the overall net gain from the Accelerated Exchange Trade is expected to be about HK$704.00 million, subject to audit under HKFRS. The board states that the transaction enhances balance-sheet strength without reducing strategic exposure to Cathay Pacific beyond previously envisaged levels.
The bond repurchase and share placement are scheduled to settle on 4 September 2026. Under Hong Kong Listing Rules, the share placement constitutes a discloseable transaction as the highest applicable percentage ratio exceeds 5% but remains below 25%. Stakeholders are advised to exercise caution when dealing in the securities of Swire Pacific and Cathay Pacific Airways.
