NetEase Cloud Music Proposes Articles Amendment to Enable Virtual Shareholder Meetings

NetEase Cloud Music Inc. (NetEase Cloud Music) disclosed on 15 April 2026 that its board intends to overhaul the company’s Memorandum and Articles of Association to accommodate fully virtual general meetings and electronic voting, in line with the latest amendments to the Hong Kong Listing Rules.

The revised Articles of Association will replace the existing version, subject to approval by special resolution at the 2026 annual general meeting. A circular outlining the detailed changes and the formal AGM notice will be distributed to shareholders in due course.

Board composition at the date of the announcement is as follows: Executive Directors—Chairman William Lei Ding, Yong Li and Yanfeng Wang; Non-Executive Director—Yat Keung Li; Independent Non-Executive Directors—Ying Kit Caleb Lo, Xianfeng Gu and Zhong Xu.
