SAIMO Schedules AGM for 24 June 2026; Shareholders to Vote on 2025 Results, PwC Re-appointment, and Dual Share Mandates

Beijing Saimo Technology Co., Ltd. (abbreviated as SAIMO) will convene its Annual General Meeting at 2:00 p.m. on Wednesday, 24 June 2026, in Room 301 of the Zhongguancun International Innovation Building, Haidian District, Beijing.

Key items slated for shareholder approval include:

1. 2025 Board of Directors’ report, Supervisory Committee report, and audited financial statements.

2. 2025 profit-distribution plan.

3. Re-appointment of PricewaterhouseCoopers as external auditor for the 2026 fiscal year, with remuneration to be set by the Board.

4. Special resolutions granting a general mandate to issue shares and a separate mandate to repurchase H-shares.

5. Amendments to the Articles of Association and to the Rules of Procedure for General Meetings.

The H-share register will close from Thursday, 18 June 2026 to Wednesday, 24 June 2026 (both days inclusive). Shareholders recorded at the start of business on 24 June 2026 are entitled to attend and vote. H-share transfers must be lodged with Computershare Hong Kong Investor Services by 4:30 p.m. on Wednesday, 17 June 2026.

Proxy forms—together with any required notarised authorisations—must be submitted at least 24 hours before the meeting. The AGM is expected to last half a day, and attendees will bear their own transport and accommodation costs.

As of the notice date, SAIMO’s Board comprises three executive directors (Hu Dalin, He Feng, Ma Lei), three non-executive directors (Jia Qi, Yao Xiang, Gong Xiao), and three independent non-executive directors (Guo Lili, Ma Weiguo, Wong Ho Kwan).
