Hong Kong-listed Meituan (the “Company”) has approved a grant of 12.96 million restricted share units (RSUs) to selected employee participants, according to a board announcement dated 27 October 2026.
Key Terms of the Grant • Grant size: 12.96 million RSUs, equal to 2.08% of the 624.21 million-share scheme limit approved by shareholders. • Grant date: 27 October 2026. • Purchase price: Nil; the RSUs are awarded at no cost to grantees. • Reference price: HK$71.85 per Class B share, the closing market price on the grant date. • Vesting schedule: Time-based vesting over approximately 21–48 months, with the first tranche eligible to vest within 12 months of grant; no performance targets are attached. • Claw-back provisions: All unvested RSUs will lapse and previously vested shares or sale proceeds are subject to forfeiture if a grantee is convicted of a criminal offence, breaches grant covenants, or triggers other prescribed events.
Compliance and Approvals The RSU distribution complies with Hong Kong Listing Rules 17.06A, 17.06B and 17.06C. No individual grantee exceeds the 1% individual limit; no directors, chief executives, substantial shareholders, related entity participants, or service providers exceed applicable thresholds. Consequently, shareholder approval is not required.
Funding and Capacity The awards will be settled through the issuance of new shares and/or transfer of treasury shares. Following this grant, 344.55 million shares remain available under the overall scheme limit, while 62.12 million shares remain under the specific service-provider sub-limit.
Strategic Rationale Management stated that the RSU grant is intended to align employees’ interests with shareholders, foster long-term commitment, and support sustainable growth by linking employee remuneration to future share performance.
