CSSC Shipping Proposes Second Amended & Restated Articles to Meet 2025 HKEX Governance Rules

CSSC Shipping (CSSC (Hong Kong) Shipping Company Limited) announced on 26 March 2026 that its Board has approved a package of amendments to the current Articles of Association and plans to adopt a “Second Amended and Restated Articles of Association.”

The proposed revisions are designed to strengthen corporate governance practices and ensure full compliance with Hong Kong laws and the HKEX Listing Rules, with specific reference to the enhanced requirements set out in Appendix A1 that will take effect on 10 February 2025.

Implementation of the changes requires shareholder approval. The Board will seek a special resolution at the forthcoming annual general meeting (AGM). A circular outlining the detailed amendments and the AGM notice will be distributed to shareholders in due course.

As of the announcement date, the Board comprises two executive directors (Li Hongtao and Liu Hui), two non-executive directors (Xie Weizhong and Chi Benbin), and three independent non-executive directors (Wang Dennis; Shing Mo Han Yvonne, BBS, JP; and Li Hongji).

The company emphasized that the proposed governance enhancements aim to align internal regulations with evolving regulatory standards and bolster transparency for all stakeholders.
