Black Sesame announces HK$40–50 million employee share purchase plan

Bulletin Express10-15

Black Sesame International Holding Limited (Black Sesame) disclosed that a group of its core employees intends to acquire additional shares in the company on the open market before the end of November 2026. The planned aggregate consideration ranges from HK$40.00 million to HK$50.00 million.

According to the board, the initiative—termed the “Shareholding Increasing Plan”—will be financed entirely by the employees’ personal funds. The company will not provide loans, guarantees or any other form of financial assistance. All transactions must comply with Hong Kong Listing Rules, applicable regulations and Black Sesame’s internal securities-dealing policies.

Only one participant in the plan is deemed a connected person under Hong Kong Listing Rules, being a director of a Black Sesame subsidiary. The board expects that no individual participant will become a substantial shareholder and that the company’s public float will remain sufficient.

Management views the proposed purchases as evidence of employees’ confidence in Black Sesame’s long-term growth prospects and intrinsic value. The company cautions, however, that changes in market conditions, share-price movements or regulatory factors could delay or prevent execution of the plan.

The voluntary announcement, dated 15 October 2026, was authorized by Mr. Shan Jizhang, Chairman, Executive Director and Chief Executive Officer of Black Sesame. Shareholders and potential investors are advised to exercise caution when dealing in the company’s securities.
