Mininglamp-W's Subsidiary to Acquire 19.07% Stake in Pansoft for 859 Million Yuan

Beijing Mininglamp Zhaohui Technology Co., Ltd., an indirect wholly-owned subsidiary of Mininglamp-W (02718), has entered into a share transfer agreement with a group of 17 sellers, including Lin Guoqiang, Wang Hu, and others, on July 29, 2026.

Under the agreement, the buyer has conditionally agreed to acquire, and the sellers have conditionally agreed to sell, a total of 75,473,900 shares of Pansoft Company Limited (300996), representing approximately 19.07% of Pansoft's total issued share capital as of the agreement date. The total cash consideration is 859 million yuan, equivalent to 11.38 yuan per share.

Upon completion of the transaction, the buyer will directly hold approximately 19.07% of the issued shares of Pansoft.

The group is committed to providing enterprises with data intelligence applications and artificial intelligence solutions by integrating large models, industry knowledge, and multimodal data. Pansoft has long provided management informatization solutions—including group finance, financial shared services, treasury management, comprehensive budgeting, and business-finance integration—to large-scale group enterprises such as central enterprises, local state-owned enterprises, industry leaders, and financial insurance groups. Pansoft has built a strong customer base, project delivery experience, industry knowledge, and IT-application capability in these areas.

The directors believe that Pansoft's group-level enterprise management scenarios and delivery capabilities are highly complementary to the group's technical strengths, which are based on the OCTO intelligent collaboration platform, edge models, and AI deployment services. The acquisition will create favorable conditions for both parties to explore the application of AI technology in large-scale group enterprise management scenarios.

Leveraging the group's AI capabilities and Pansoft's existing products, customer scenarios, and implementation experience, both parties plan to gradually promote the integration of AI with financial shared services, treasury management, budget management, and other enterprise management systems. They intend to introduce a Forward Deployed Engineering (FDE) model to provide high-quality products and services for the intelligent transformation of large-scale group customers.

Additionally, the two parties plan to jointly develop AI-native enterprise management applications and related incremental services, exploring innovative product and service delivery models for the intelligent era. This will enrich the group's product and service portfolio, expand its presence in the large-scale group enterprise market, and further enhance its competitiveness in the enterprise-level AI application space.
