Bulletin Express06-25

Innovax Holdings has issued its AGM circular, scheduling the meeting for 7 August 2026 at 2:00 p.m. in Hong Kong. Key resolutions will cover board composition, auditor appointments, refreshed share authorities and revisions to constitutional documents.

• Board structure – Five recently appointed directors face re-election: executive directors Mr Wang Tingfa (Chairman & CEO) and Mr Wang Zhenyuan, plus independent non-executive directors Mr Li Changqing, Mr Li Yi and Ms Ling Taotao. The nomination committee confirmed each candidate’s performance and independence and recommends their re-election.

• Auditor re-appointment – BDO Limited is proposed to continue as external auditor for the year ending 28 February 2027, with an estimated audit fee of HK$0.80 million, unchanged assumptions being no material changes to the Group’s operations or accounting policies.

• Share authorities – – Buy-back Mandate: authority to repurchase up to 10% of issued shares, equivalent to 6.00 million shares based on the current 60.00 million share capital. – General Mandate: authority to issue up to 20% of issued shares (12.00 million shares), plus any shares repurchased under the Buy-back Mandate. The board states it has no immediate plan to exercise either mandate.

• Constitutional updates – Shareholders will vote on adopting a fourth amended and restated Memorandum and Articles of Association to: – enable electronic or hybrid general meetings and electronic voting; – align with Hong Kong’s forthcoming uncertificated securities market (USM) regime; – permit the holding of repurchased shares as treasury stock; – incorporate housekeeping revisions.

• Administrative details – The share register will close from 4 to 7 August 2026 (both days inclusive). Shareholders must lodge transfers by 4:00 p.m. on 3 August 2026 to qualify for attendance and voting. Proxy forms must reach Union Registrars at least 48 hours before the meeting.

The board considers all proposals to be in the best interests of the company and urges shareholders to vote in favour of the resolutions.
