Baidu completes HKD 50 million share buy-back on 28 September; 8.99 million shares repurchased since August mandate

Baidu, Inc. (Baidu) disclosed that it repurchased 583,700 Class A ordinary shares on 28 September 2026 via on-exchange transactions in Hong Kong. The shares were bought at prices ranging from HKD 85.05 to HKD 86.60, for a total consideration of HKD 49.99 million.

Including this latest transaction, Baidu has acquired 8.99 million Class A shares between 7 and 28 September under the repurchase mandate approved on 26 August 2026. The cumulative volume represents 0.33% of the 2.21 billion issued shares outstanding on the mandate date. Individual daily repurchases during the period ranged from 541,200 to 589,050 shares, executed at volume-weighted average prices between HKD 84.88 and HKD 92.38 per share.

All 8.99 million shares are designated for cancellation but had not yet been cancelled as of the 28 September reporting date. Consequently, Baidu’s issued share capital remained unchanged at 2.21 billion Class A ordinary shares, with no treasury shares outstanding.

Pursuant to Hong Kong listing rules, Baidu is subject to a moratorium on issuing new shares or selling any treasury shares until 28 October 2026. The company confirmed that each repurchase was authorised by the board and executed in full compliance with applicable regulations.
