MOG Digitech Ups Authorised Share Capital to 20.00 Billion Shares; Issued Shares Remain at 1.37 Billion

Hong Kong–listed MOG Digitech Holdings Limited (submission date: 02 July 2026) reported the following equity movements for the month ended 30 June 2026:

• Authorised share capital expanded ten-fold after shareholders approved the creation of an additional 18.00 billion ordinary shares of HKD 0.01 each on 26 June 2026. Authorised capital therefore rose from HKD 20.00 million to HKD 200.00 million, with the number of authorised shares now standing at 20.00 billion.

• Issued share capital was unchanged at 1.37 billion ordinary shares, all of which are listed on the Hong Kong Stock Exchange. The company holds no treasury shares.

• Public-float compliance was confirmed, with at least 25 % of issued shares held by the public as required under Main Board Rule 13.32B.

• No share options, warrants, convertibles or other equity-linked securities were exercised, issued or cancelled during the month. The 2025 Share Scheme continues to allow for up to 114.36 million new shares to be issued in future, but no options are currently outstanding. No funds were raised in June.

The filing indicates that, while MOG Digitech’s issued share count remained stable, the substantial increase in authorised capital provides considerable headroom for potential future equity issuance.
