Yum China (YUMC) Cancels 81.60K Shares After U.S. Buyback; Outstanding Share Count Falls to 338.97 Million

Yum China Holdings, Inc. disclosed on 6 October 2026 that it cancelled 81,601 ordinary shares on 5 October, following their repurchase on 2 October via the New York Stock Exchange (NYSE) at an average price of USD 39.97. The cancellation trims the company’s issued share base by 0.02%, reducing total outstanding shares to 338.97 million.

In parallel with the cancellation, Yum China stepped up its ongoing buyback programme on 5 October:

• Hong Kong Stock Exchange (HKEX): 25,200 shares repurchased at prices between HKD 310.60 and HKD 315.60, for a total outlay of HKD 7.89 million.

• NYSE: 67,063 shares repurchased at prices ranging from USD 40.04 to USD 40.43, costing USD 2.70 million.

These 92,263 shares (25,200 in Hong Kong and 67,063 in the U.S.) are earmarked for cancellation but remained outstanding as of the disclosure date. Including earlier Hong Kong repurchases conducted between 11 September and 2 October—totalling 388,200 shares yet to be cancelled—shares awaiting cancellation stood at 455,263, equivalent to roughly 0.13% of current issued shares.

Cumulatively, the company has bought back 8.35 million shares under the repurchase mandate approved on 28 May 2026, representing 2.41% of the shares outstanding on that mandate date. The mandate authorises repurchases of up to 34.66 million shares, leaving capacity for a further 26.31 million shares.

All transactions were executed by independent brokers under existing U.S. Rule 10b5-1 and Hong Kong automatic share‐repurchase agreements, with the company affirming compliance with both Hong Kong Stock Exchange Listing Rules and relevant U.S. regulations.
