WS-SK TARGET (08427) Subsidiary to Acquire 1% Stake in Shenzhen Wanshun Ride-Hailing Cloud for HK$34 Million

Following the termination of a prior acquisition, WS-SK TARGET (08427) entered into further negotiations with the seller, adjusting its collaborative strategy with both the seller and the target company.

On December 28, 2025, the seller (Wanshun Technology Industrial Group Limited), the target company (Shenzhen Wanshun Ride-Hailing Cloud Information Technology Co., Ltd.), and the buyer (Gallant Empire Limited, a directly wholly-owned subsidiary of the Company) executed a sale and purchase agreement.

Pursuant to the agreement, the buyer has agreed to purchase, and the seller has agreed to sell, the sale capital, representing 1% of the target company's registered share capital, for a total consideration of HK$34 million.

The consideration will be settled through the issuance of a promissory note.

The target company is a limited company established in China, primarily engaged in the operation of a ride-hailing platform.

The Board of Directors believes the acquisition aligns with the overall interests of the Company and its shareholders.

This acquisition not only provides a strategic entry point into the high-growth ride-hailing industry but also supports the Company's long-term objectives of diversification, innovation, and value creation.
