China Railway: Joint Company Secretary Ma Yonghong to Retire in August 2026; Chairman Chen Wenjian Named Interim Board Secretary

China Railway Group Limited (CHINA RAILWAY) disclosed that Joint Company Secretary and Board Secretary Mr. Ma Yonghong will step down effective 1 August 2026 upon reaching the statutory retirement age. Following his resignation, Mr. Ma will serve as an external director at certain Company subsidiaries.

The Board confirmed that Mr. Ma has no outstanding commitments, harbors no disagreements with the Board, and that an orderly handover has been completed, ensuring no disruption to normal operations.

In accordance with Shanghai Stock Exchange rules and other regulatory requirements, Chairman Mr. Chen Wenjian will assume the role of acting Board Secretary until a permanent successor is appointed. Mr. Tam Chun Chung will continue in his capacity as the Company’s remaining Joint Company Secretary.

During his tenure, Mr. Ma contributed to enhancements in corporate governance, information disclosure, investor relations, and ESG system development. The Board expressed its appreciation for his service.

The Company stated that the process to appoint a new Board Secretary will be completed “as soon as practicable,” with further disclosures to follow in line with regulatory obligations.

As of the announcement date (31 July 2026), the Board comprises Executive Directors Chen Wenjian (Chairman) and Zhao Dianlong; Non-Executive Directors Wen Limin and Fang Xiaobing; and Independent Non-Executive Directors Xiu Long, Sun Lishi, and Tu Haiming.
