ENN Energy: Morgan Stanley Reports Derivative Dealings Involving 35,002 Reference Shares Amid Privatisation Process

ENN Energy Holdings Limited (ENN Energy) today released a Rule 22 Public Disclosure Form detailing derivative transactions executed by Morgan Stanley & Co. International plc (MSIP) on 9 April 2026, in connection with the ongoing privatisation of ENN Energy by way of scheme of arrangement.

MSIP, identified as a Class (5) associate connected with the offeror, carried out unsolicited client-facilitation trades in “other types of products” derivatives linked to ENN Energy shares:

• Purchase: 19,100 reference shares, maturing 1 June 2027, at a reference price of $65.5691 per share, for a consideration of $1.25 million. • Sales: 854 reference shares, maturing 16 May 2033, at $65.4647 per share, for proceeds of $0.06 million. • Sales: 3,000 reference shares, maturing 29 November 2027, at $65.5000 per share, for proceeds of $0.20 million. • Sales: 5,648 reference shares, maturing 31 May 2033, at $65.4647 per share, for proceeds of $0.37 million. • Sales: 6,400 reference shares, maturing 13 November 2026, at $65.3312 per share, for proceeds of $0.42 million.

In aggregate, the transactions covered 35,002 reference shares with a combined transaction value of approximately $2.29 million. Each individual trade resulted in a zero closing balance, indicating that MSIP held no outstanding derivative position in ENN Energy shares at the end of the trading day.

The disclosure confirms that all dealings were conducted on MSIP’s own account. MSIP is ultimately owned by Morgan Stanley.
