CN Health Technology Group Holding Company Limited (CN Health Tech) has received a shareholder requisition demanding an extraordinary general meeting (EGM) on 29 September 2026 to vote on the wholesale removal of its current board and the appointment of four new directors.
A shareholder holding at least 10 % of CN Health Tech’s voting rights, Ms Lin Yudan, submitted the notice on 2 September 2026. Twelve ordinary resolutions will be put to vote, the key items being:
• Removal of all six incumbent directors—Executive Directors Ms Bi Xue (Chairman), Mr Leung Ka Wai (Chief Executive Officer) and Ms Wong Hoi Ying, plus Independent Non-executive Directors (INEDs) Mr Chau Wing Nam, Ms Liu Shuhua and Mr Li Liangjie.
• Removal of any directors appointed after 2 September 2026 and before the EGM, except the four individuals named in the requisition.
• Appointment of two new executive directors: – Mr Tse Tung Leung Tony, 45, currently a manager at Sincere Group with a Bachelor of Accounting and Finance from Monash University and 3.77 % shareholding in the company. – Ms Yang Lin Lin, 44, deputy general manager of Guangzhou Hengdi Medical Equipment, with two decades of experience in finance, journalism and medical equipment operations.
• Appointment of two new INEDs: – Mr Law Ting Cheuk, 32, a licensed portfolio manager with Type 1, 4 and 9 SFC licences and a track record of a 26.56 % annualised return at his current asset-management role. – Ms Siwanat Saymaya, 37, chief operating officer of Siam Health Life Center (Thailand) with 11 years in health-food and medical aesthetics operations.
If all resolutions pass, the board would shrink from six to four members, comprising two executive directors and two INEDs. This meets Listing Rule 3.10A on one-third INED representation; however, the minimum of three INEDs under Rule 3.10(1) would not be satisfied. The Board notes that while the proposed directors add financial and health-industry expertise, their combined experience in forestry, ginseng cultivation and timber—core businesses of CN Health Tech—is limited.
The requisition provides no rationale for replacing the current board. The incumbent directors advise shareholders to evaluate the proposals carefully, citing uncertainty over how the new slate would manage existing operations and strategy.
The EGM will be held at 11 a.m. on 29 September 2026 at Portion 2, 12/F, The Centre, 99 Queen’s Road Central, Hong Kong. Shareholders on record as of 29 September 2026 are entitled to vote; the register closes from 24–29 September 2026. Proxy forms must reach Tricor Investor Services by 27 September 2026. All resolutions will be decided by poll, with results disclosed on the Hong Kong Stock Exchange and company websites.
