GP Logistics to Table 20% Share Issuance Mandate, 10% Buy-back Authority at 29 May 2026 Virtual AGM

Grand Power Logistics Group Limited (abbreviated as GP Logistics) has issued a notice convening its Annual General Meeting (AGM) for 29 May 2026 at 3:00 p.m., to be held entirely online via the Vistra eVoting Portal.

Key resolutions to be voted on are as follows:

1. Financial Statements • Shareholders will receive and approve the audited consolidated financial statements, directors’ report and independent auditor’s report for the year ended 31 December 2025.

2. Board Composition and Remuneration • Re-election of three directors: – Executive Director: Mr. Tse Chi Kwan Decky – Independent Non-executive Directors: Mr. Ng Hung Fai Myron and Mr. Yeung Kwong Wai • The board will be authorised to determine directors’ remuneration for the financial year ending 31 December 2026.

3. Auditor Re-appointment • Baker Tilly Hong Kong Limited is proposed for re-appointment as external auditor, with fees to be set by the board.

4. General Mandates • Share Issuance: A mandate permitting the board to allot, issue and deal with additional shares up to 20% of the company’s issued share capital (excluding treasury shares) as at the date of the AGM. • Share Repurchase: Authority to buy back shares on the open market up to 10% of the issued share capital (excluding treasury shares). • Extension Mandate: Conditional on the above, the issuance mandate may be increased by the number of shares actually repurchased, capped at an additional 10%.

5. Key Timetable • Register of members closed: 26–29 May 2026 (both days inclusive). • Share transfer deadline to qualify for AGM attendance and voting: 4:30 p.m. on 22 May 2026. • Proxy submission deadline: 3:00 p.m. on 27 May 2026.

Shareholders and non-registered investors may attend, submit questions and vote through the Vistra eVoting Portal. Poll voting will be adopted for all resolutions in accordance with GEM Listing Rule 17.47(4).
