BLACK SESAME Terminates Stock Placement Agreement by Mutual Consent

BLACK SESAME (02533) has announced that following a notice from the placement agent regarding its intention to terminate the placement agreement for the subscription matter, the company and the placement agent entered into a termination agreement on March 18, 2026. Pursuant to this agreement, the parties have mutually agreed to terminate the placement agreement, effective from the date of the termination agreement. As a result of the termination, the net proceeds from the subscription matter, after deducting related expenses, have been revised to approximately HKD 632 million. The Board of Directors believes that the termination of the placement agreement will not have any significant adverse impact on the company's existing business, operations, or financial condition.
