Shareholder Approval & Governance The Rights Issue requires approval from independent shareholders at an EGM scheduled for 5 Nov 2026. Major shareholder Mr Lo Chor Cheong Colin, who owns 13.73% via Happy Century Global Ltd., will abstain from voting. The Independent Board Committee and independent adviser Messis Capital have recommended voting in favour, deeming the terms fair and reasonable.

Strategic Rationale Management cites the need to strengthen liquidity, reduce gearing through loan repayment, and finance mainland China expansion as the primary drivers. Following a return to profitability in FY 2026 (HK$10.25 million net profit), the company plans to deepen its presence in the Greater Bay Area’s mass-market dining segment while bolstering its working capital position.
